1. Acceptance of Terms

By registering for, accessing, or using Vendoshift ("the Platform", "Service", "we", "us", or "our"), operated by Vendoshift Technologies Ltd., you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, you must not access or utilize our platform.

2. Scope of Services

Vendoshift provides a multi-tenant cloud-based commerce infrastructure designed for Shopify retailers. The services include, but are not limited to:

• Omnichannel inventory synchronization between physical warehouses, retail branches, and online Shopify stores.
• Cloud-connected Point of Sale (POS) terminal software for cashiers and store associates.
• Automated Egyptian Tax Authority (ETA) e-receipt generation and compliance integration.
• Enterprise thermal barcode label printing, asset tagging, and cycle count auditing.
• Dynamic promotional bundling and advanced inventory analytics.

3. Account Eligibility & Responsibilities

To utilize the Service, you must represent a valid business entity or authorized retail merchant. You are strictly responsible for maintaining the confidentiality of your account credentials, API tokens, and POS terminal access PINs. All activities conducted under your organization's tenant workspace are deemed your responsibility.

4. Subscriptions, Fees & Payment Processing

Access to Vendoshift services is provided on a software-as-a-service (SaaS) subscription basis (monthly or annual billing tiers).

• Payment Methods: We accept credit/debit cards (Visa, MasterCard, Meeza) and authorized digital wallets via licensed payment gateways.
• Billing Cycle: Subscription fees are billed in advance on a recurring monthly or annual schedule from the activation date.
• Payment Security: Cardholder data is tokenized and transmitted directly to certified PCI-DSS Level 1 payment gateway providers. Vendoshift does not record, process, or store raw credit card numbers.
• Taxes: Fees are exclusive of applicable value-added taxes (VAT) or government levies unless explicitly stated otherwise.

5. Cancellation & Subscription Termination

Merchants may cancel their subscription at any time via the self-service billing portal located in Dashboard > Settings > Billing. Cancellation takes effect at the conclusion of the current prepaid billing period, with uninterrupted access maintained until that date. 6. Data Isolation & Tenant Integrity

Vendoshift operates under a strict Zero-Trust multi-tenant architecture. Every tenant's data (orders, inventory, customer details, and POS logs) is mathematically segregated at the database query level via automated global scopes. We maintain rigorous automated backups and industry-standard encryption protocols.

7. Intellectual Property

All software algorithms, user interfaces, documentation, trademarks, and design systems forming the Vendoshift platform remain the exclusive property of Vendoshift Technologies Ltd.. You retain full and sole ownership of all commercial inventory and customer data ingested through your Shopify store.

8. Limitation of Liability & Service Availability

While Vendoshift targets a 99.9% operational uptime SLA, the service is provided on an "as-is" and "as-available" basis. In no event shall Vendoshift Technologies Ltd. be liable for indirect, incidental, special, or consequential damages resulting from internet interruptions, external third-party API outages (including Shopify or ETA downtime), or unapproved hardware misconfigurations.

9. Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with the applicable laws and commercial regulations of the jurisdiction where Vendoshift Technologies Ltd. is registered. Any legal disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent commercial courts.
